The City of Camas Washington intends to perform a tree lighting ceremony located at 315 NE 4th Avenue, Camas, WA 98607. To aid in the safety of this event Camas has requested the use of three light towers provided by Clark County under the Pacific Northwest Interagency Cooperative Intergovernmental Agreement for Grounds Equipment and Maintenance ("GEM") Services, effective January 1, 2011 . 2. The Clark County Department of Public Works owns four (4) 2009 Terex AL5000, 1000-Watt trailer mounted light towers. 3. Public Works recognizes the Camas need for the light towers. Accordingly, the parties agree that Public Works will lend the light towers to the City of Camas starting on December 2, 2021 and return the light towers December 6th, 2021 the ("Term"). 4. The City of Camas will not pay a flat fee for use of the Light Towers. Instead, Camas will be responsible for paying for the actual costs of fuel that it uses in the light towers during the Term. At the conclusion of the Term, the light towers shall be returned to Public Works with the same amount of fuel that it contained when picked up by Camas at the beginning of the Term. 5. At the beginning of the Term, Camas will pick up the light towers from Public Works. At the conclusion of the Term, Camas will be responsible for returning the light towers to Public Works. 6. During the Term, Public Works will be responsible for performing any necessary repair and maintenance to the light towers; provided however, that the costs related to such repairs and maintenance shall be billable to Camas to the extent they arise from Camas's use of the light towers. 7. Public Works is providing the light towers to Camas in "as is" condition and disclaims any warranties regarding its operation. 9. Each party shall be responsible for its own acts and omissions and those of its assigned contractors, personnel, officers or others performing services at, or under the direction of, a respective party. 10.Each party shall be responsible for any loss or injury to any of their employees or workers arising under this usage agreement, including but not limited to any loss or injury covered by applicable Workers' Compensation benefits or coverages arising under Washington law. Each party shall indemnify and hold the other party harmless from and for any loss, claim or damage asserted by their respective employee(s) or agent(s) against the other party for any work-related injuries of any kind or nature arising under this agreement.
